Welcome to StockPriceCatalyst.com (the "Platform" or "Service"), operated by StockPriceCatalyst.com ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Platform, including any content, functionality, and services offered on or through the Platform.

By accessing or using the Platform, registering an account, or subscribing to any plan, you agree to be bound by these Terms. If you do not agree, you must not use the Platform. These Terms form a binding legal agreement between you and us.

1. Eligibility and Geographic Availability
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By using it, you represent that you meet this requirement and are not barred from using the Service under applicable law. The Platform is intended exclusively for individual investors residing in the United States, Canada, Central America, South America. It is not available to residents of the European Union (EU) or the European Economic Area (EEA), nor for commercial redistribution or to minors.

**Geoblocking and Exemption for EU/EEA Users**: The Platform provides AI-driven analysis of corporate press releases related to financial instruments (stocks listed on NASDAQ, NYSE, and AMEX), classifying it as a financial service under Directive 2014/65/EU (MiFID II), including investment analysis that may influence investment decisions, even if it does not constitute formal advice. Therefore, it is exempt from Regulation (EU) 2018/302 (Article 3.2.b), which prohibits unjustified geoblocking for financial services, including investment analysis. Access from the EU/EEA is restricted by residence or nationality to comply with specific EU financial regulations. If you access from the EU/EEA, your use violates these Terms and may result in immediate account termination.

2. Description of Services
The Platform provides artificial intelligence (AI)-driven analysis of corporate press releases from publicly traded companies on NASDAQ, NYSE, and AMEX (with market capitalization exceeding $1 billion USD), focused on potential catalysts for stock price movements. Key features include:

- Daily scans and summaries of press releases.
- Historical catalyst database (Over 10 years of data).
- Automated classification and personalized reports.
- Tools such as Potential Catalyst List, My Watchlist, Real-Time Press Releases, and communication frequency analysis.

Reports are available in English and Spanish. Full feature access requires a subscription. We do not provide real-time trading advice, brokerage services, or guaranteed predictions. All analyses are generated by artificial intelligence based on public data and historical patterns; past performance does not indicate future results.

3. Accounts and Registration
To access the Platform, you must create an account by providing a valid email address and password. You agree to keep your account information accurate and confidential. You are responsible for all activities under your account. We reserve the right to suspend or terminate accounts for violations of these Terms.

By registering, you represent that you reside in a permitted jurisdiction (US, Canada, Central/South America, Asia). We verify location via IP; unauthorized accesses are blocked.

For the first 100 users who pre-register via the homepage form (using only email), we offer lifetime free access to the Basic Plan, valid as long as the Platform exists. This offer ends in any moment, at which point new users must subscribe. Pre-registered free users retain access but cannot upgrade without a new paid account using a different email.

4. Subscriptions and Payments
The Platform operates on a monthly subscription model via Stripe (our third-party processor). All payments are in USD. There are no annual subscriptions.

- **Free Trial**: New paid subscribers receive 7 days of free access without providing payment details (email only). Full access during the trial, based on the selected plan.

- **Plans**:

- **Basic Plan**: $20/month. Includes: Daily Potential Catalyst List, Daily Press Releases, RSS Link for all data, Data Export to Excel for personal analysis.
- **Personal Plan**: $39/month. Includes everything from the Basic Plan, plus: My Watchlist Section, Following Function to monitor any company automatically every few days.

- **Billing**: Subscriptions auto-renew monthly. You authorize us to charge your card via Stripe.

- **Upgrades/Downgrades**: Upgrading to a higher plan prorates the difference immediately. Downgrading applies at the end of the current monthly billing cycle; no refunds for partial periods.

- **Cancellation**: Cancel anytime via your account dashboard. Access continues until the end of the paid period; no further charges. No refunds or prorated credits for cancellations.

- **No Refunds**: All sales are final. No refunds for cancellations, except as required by law (e.g., 14-day cooling-off period under U.S. consumer laws or equivalents).

If you believe there was an error in a charge, contact support@StockPriceCatalyst.com within 30 days.

5. Intellectual Property
The Platform, including AI models, databases, reports, and content, is owned by us or our licensors. You are granted a limited, non-exclusive, revocable license to access and use the Service for personal, non-commercial purposes. You may not copy, modify, distribute, or reverse-engineer any part of the Platform. Generated reports are for your internal use only; you retain no ownership rights.

Reports generated by our AI (based on analysis of public data) are the exclusive property of StockPriceCatalyst.com. Their publication on any platform or physical/digital media is prohibited without our explicit written consent.

6. User Conduct
You agree not to:

- Use the Platform for illegal purposes or to violate securities laws.
- Share account credentials or access with others.
- Upload harmful code, spam, or misleading data.
- Attempt to scrape or automate data extraction beyond provided exports (e.g., Excel/RSS).
- Attempt to circumvent geoblocking (e.g., VPN) to access from prohibited jurisdictions.

We may monitor usage to enforce these Terms.

7. Disclaimer and Limitation of Liability

**AI Notice**: The Platform uses artificial intelligence (Grok via xAI API) to generate analyses based on public data. We do not guarantee exact or perfect accuracy in results; errors or inaccuracies may occur. 8. Indemnification
You agree to indemnify and hold us harmless from claims arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

9. Termination
We may terminate or suspend your access at any time for violations, with or without notice, including attempts to access from EU/EEA. Upon termination, your right to use the Service ends; outstanding payments remain due.

10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts of Wyoming. You waive jury trials and class actions.

For California residents: CCPA/CPRA rights apply (see Privacy Policy). For Canadian residents: We comply with PIPEDA. For Brazilian residents: We comply with LGPD. For other American countries: We comply with applicable local data protection laws.

11. Changes to Terms
We may update these Terms at any time. Continued use constitutes acceptance. We will notify you of material changes via email or on the Platform.
